NOTICE OF GENERAL MEETING

NOTICE is hereby given that a General Meeting of the Society will be held at The Society’s Premises, 6/F., 88 Lockhart Road, Wanchai, Hong Kong on 9 February 2018 (Friday) at 2:30 p.m. for the following purpose:

To discuss, and if thinks fit, passing the following resolutions as special resolutions.

1. New Article 27

By inserting the title “STUDENT AFFILIATES” above the existing Article 27 and inserting the following paragraph under this new title.
“27.     A person shall be admitted as a student affiliate of the Society if s/he has complied with the following requirements:-

1. has attained the age of 18 or above;
2. is of good character;
3. is attending or has attended tertiary education, e.g. higher diploma, associate degree, bachelor degree, post-graduate diploma or master degree, in accounting or business related disciplines; or has obtained student membership from at least one of the professional accountancy bodies recognized by the Council from time to time;
4. is not ordinary/full member of any professional accountancy bodies mentioned above; and
5. pay the required fees specified by the Society.

2. Re-numbering after adding the new Article 27

The existing Article 27 to Article 114 shall be re-numbered as Article 28 to Article 115.

 Article 34 (a)(v) (i.e. Article 33(a)(v) before re-numbering)

By re-numbering “Article 34(a)” as “Article 35(a)” in the first line of that Article.

Article 35(a) (i.e. Article 34(a) before re-numbering)

By re-numbering “Article 33(a)(v)” as “Article 34(a)(v)” in the second line of that Article.

Article 35(b) (i.e. Article 34(b) before re-numbering)

By re-numbering “Article 33” as “Article 34” in the second line of that Article.

Article 35(c) (i.e. Article 34(c) before re-numbering)

By re-numbering “Article 34(b)” as “Article 35(b)” in the first line of that Article.

Article 41 (i.e. Article 40 before re-numbering)

By re-numbering “Article 35” as “Article 36” in the third line of that Article.

Article 44 (i.e. Article 43 before re-numbering)

By re-numbering “Article 105” as “Article 106” in the first line of that Article.

Article 49 (i.e. Article 48 before re-numbering)

By re-numbering “Article 50” as “Article 51” in the first line of that Article.

By re-numbering “Article 88(a)” as “Article 89(a)” in the first line of that Article.

Article 112(a) (i.e. Article 111(a) before re-numbering)

By re-numbering “Article 30” as “Article 31” in the third line of that Article.

Please note that:

1.  Article 54 of the Articles of Association of the Society provides that “No Member shall be entitled to be present or to vote at any General Meeting who is in arrears with any subscription or payment of any sum payable by member to the Society.”
2.  In order for the instrument appointing a proxy to be valid, the same must be delivered to the Honorary Secretary at the Society’s office at 6/F., 88 Lockhart Road, Wanchai, Hong Kong at least forty-eight (48) hours, excludes Saturday and Sunday, before the time for holding the above General Meeting and adjourned Meeting at which the person named in the instrument proposes to vote, or in the case of a poll, at least twenty-four (24) hours before the time appointed for the taking of the poll.
